广州市政府合同管理规定


            第五章 合同签订和履行

       第二十七条 市政府工作部门应当根据合法性审查意见对合同草拟稿进行修改,形成合同正式文本。
  合同正式文本由市政府及其工作部门的法定代表人或者经法定代表人授权的负责人签字,并加盖行政公章或者合同专用章。
  法律、法规、规章规定应当报经有关部门批准、登记的合同,由市政府及其工作部门依照法定程序办理。
  第二十八条 本规定第二十二条规定的政府合同经合同各方当事人正式签订后,市政府工作部门应当于7个工作日内将正式文本抄送市政府法制机构。
  第二十九条 出现下列情形之一的,承担履行职责的市政府工作部门应当及时主张权利,采取措施预防和应对合同风险的发生:
  ()出现不可抗力,可能影响合同正常履行的;
  ()合同依据的法律、法规、规章修改或者废止,可能影响合同正常履行的;
  ()订立合同时的客观情况发生重大变化,可能影响合同正常履行的;
  ()合同对方当事人财产状况恶化导致丧失或者可能丧失履约能力的;
  ()合同对方当事人预期违约的;
  ()其他可能存在合同风险的情形。
  以市政府为一方当事人订立的政府合同以及本规定第二十二条规定的政府合同在履行过程中发生以上情况的,承担履行职责的市政府工作部门应当及时向市政府提交预警报告,并抄送市政府法制机构。
  第三十条 政府合同在履行过程中产生纠纷,承担履行职责的市政府工作部门应当及时处理。
  以市政府为一方当事人订立的政府合同在履行过程中产生重大纠纷的,承担履行职责的市政府工作部门应当及时收集证据材料,并提出处理方案报市政府同意后施行。
  市政府法制机构应当参与以市政府为一方当事人订立的政府合同纠纷的协调和处理。
  第三十一条 政府合同发生纠纷时,应当首先采取协商、调解方式解决。经协商或者调解达成一致意见的,应当签订书面协议。
  经协商或者调解不能达成一致意见的,承担履行职责的市政府工作部门应当及时提请仲裁或者诉讼解决,按照诉讼时效的要求以及仲裁、诉讼规则,全面收集证据,做好应对工作,防止因应诉不当而导致的败诉风险。必要时可以外聘律师或者委托市政府法制机构处理。
  第三十二条 以市政府为一方当事人订立的政府合同,在纠纷处理过程中,未经市政府同意,市政府工作部门不得放弃属于市政府一方享有的合法权益。
  以市政府工作部门为一方当事人订立的政府合同,在纠纷处理过程中,未经部门法定代表人同意,任何机构和个人不得放弃属于市政府工作部门一方享有的合法权益。
  第三十三条 政府合同订立后或者履行过程中需要订立补充合同或者变更、解除合同的,市政府工作部门应当按照本规定规定的合同订立的程序办理。
  第三十四条 政府合同订立、履行过程中取得的下列档案材料,市政府工作部门应当及时予以编号、登记、归档:
  ()合同正式文本、补充合同;
  ()合同对方当事人的资产、信用、履约能力等情况的调查材料;
  ()合同谈判、协商材料;
  ()合同订立的依据、批准文件;

  ()合法性审查意见;
  ()法院裁判文书、仲裁机构裁决文书、调解文书;
  ()其他需要归档的材料。
  一般政府合同档案应当自合同履行期满后保管10年以上,本规定第二十二条规定的政府合同档案应当自订立之日起永久保管。

Provisions of Guangzhou Municipality on Administration of Government Contracts

Chapter 5 Execution and Fulfilment of Contracts and
Article 27 The municipal government departments shall amend the draft contracts based on the legality review comments to produce formal contracts.
A formal contract shall be signed by the legal representative of the municipal government or any of its departments or signed by the person authorized by the legal representative, with the administration seal or a seal specially used for contracts affixed on it.
If a contract is subject to the approval and registration by relevant departments as required by laws and regulations, the municipal government and its departments shall handle such work by following the statutory procedures.
Article 28 After the execution of a government contract as provided for in Article 22 hereof, the municipal government department shall send a formal copy to the legislative affairs office under the municipal government within seven working days.
Article 29 In any of the following cases, the municipal government department which bears the responsibility of contract fulfillment shall promptly claim rights and take measures to prevent and respond to the occurrence of contract risks:
(1) Force majeure which may affects the normal fulfilment of the contract;
(2) Amendment and repeal of the laws, regulations and rules applicable to the contract which may affects the normal fulfilment of the contract;
(3) Material change of the objective conditions under which the contract is concluded which may affects the normal fulfilment of the contract;
(4) Deterioration of the other party’s financial status which leads to or may lead to the loss of capability to fulfil the contract;
(5) Expected default by the other party of the contract; or
(6) Other cases where potential contract risks exist.
If any of the above events happens during the process of fulfilment of a government contract concluded by the municipal government as a party or a government contract as provided for in Article 22 hereof, the municipal government department responsible for fulfilling the contract shall promptly submit an early warning report to the municipal government and send a copy to the legislative affairs office under the municipal government.

Article 30 If a dispute arises during the fulfilment of a government contract, the municipal government department responsible for fulfilling the contract shall handle and resolve it in a promptly manner.
If a major dispute arises during the fulfilment of a government contract concluded by the municipal government as a party, the municipal government department responsible for fulfilling the contract shall promptly collect evidence and provide a resolution proposal which shall be reported to the municipal government for approval before implementation.
The legislative affairs office under the municipal government shall participate in the coordination and resolution of the disputes in connection with government contracts concluded by the municipal government as a party.
Article 31 When a dispute arises out of a government contract, negotiation and mediation shall be firstly used as a means of dispute resolution. If agreement is reached through negotiation or mediation, then a written agreement shall be signed.
If agreement is not reached through negotiation or mediation, the municipal government department responsible for fulfilling the contract shall promptly go to arbitration or legal proceedings, collect comprehensive evidence based on the limitation and rules of action and arbitration rules and make good preparations to eliminate the risk of losing a lawsuit due to improper response. The municipal government department may engage a lawyer or appoint the legislative affairs office under the municipal government to handle the case if necessary.
Article 32 In the process of resolving a dispute arising out of a government contract concluded by the municipal government as a party, the municipal government department must not waive any rights or legitimate interests owned by the municipal government without the consent given by the municipal government.
In the process of resolving a dispute arising out of a government contract concluded by any of the municipal government departments as a party, any organization or individual must not waive any rights or legitimate interests owned by the municipal government department without the consent given by the legal representative of the department.

Article 33 If a supplementary contract is needed or the original contract needs to be changed or terminated after the conclusion or during the fulfillment of a government contract, the municipal government department shall handle it following the procedures for contract conclusion as required herein.
Article 34 For the following documents and materials obtained during the process of conclusion and fulfillment of a government contract, the municipal government department shall number, register and file them in a timely manner:
(1) Formal contract copies and supplementary contracts;
(2) Study materials on the financial status, credit profile of the other parties of the contract and their capability to fulfil such contract;
(3) Contract negotiation materials;
(4) Bases and approval documents for contract conclusion;
(5) Legality review comments;
(6) Court judgment instruments, arbitration awards and mediation instruments provided by the arbitration agency; and
(7) Other materials needing to be kept on file.
General government contracts shall be kept for more than 10 years from the end of the contract term while those government contracts provided for  in Article 22 hereof shall be permanently kept from the date of
